Buyer Terms
1. Interpretation and Definitions
1.1 In these Terms and Conditions ("Terms"), the following definitions apply unless the context requires otherwise:
- "Buyer" means a registered business user of the Platform who creates Requests for industrial parts.
- "GoFindPart", "we", "us", or "our" means Go Find Part Limited, a company registered in England and Wales.
- "Offer" means a response submitted by a Seller to a Request, including a proposed price, delivery method, and lead time.
- "Platform" means the GoFindPart website, applications, and all associated services accessible at www.gofindpart.com.
- "Request" means a posting created by a Buyer on the Platform seeking a specific industrial part or parts.
- "Seller" means a registered business user of the Platform who submits Offers in response to Requests.
- "Transaction" means an accepted Offer, including the sale, payment, and delivery of goods between a Buyer and a Seller facilitated by the Platform.
- "Protected Payment" means the payment mechanism whereby funds are held by our payment processor (Stripe) until delivery is confirmed and the applicable hold period has elapsed.
1.2 These Terms are a legally binding agreement between you (the Buyer) and GoFindPart. By registering for an account and using the Platform as a Buyer, you agree to be bound by these Terms.
1.3 These Terms apply exclusively to business-to-business (B2B) transactions. By using the Platform, you confirm that you are acting in the course of your business and not as a consumer.
1.4 GoFindPart acts as an intermediary platform facilitating Transactions between Buyers and Sellers. GoFindPart is not a party to the contract of sale between a Buyer and a Seller. The contract for the supply of goods is between the Buyer and the Seller directly.
2. Account Registration and Eligibility
2.1 To use the Platform as a Buyer, you must register for an account and provide accurate, complete, and current information.
2.2 You must be a registered business, sole trader, or other commercial entity operating in the United Kingdom. Individuals acting in a personal capacity are not permitted to use the Platform.
2.3 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
2.4 GoFindPart reserves the right to refuse registration, suspend, or terminate any account at its sole discretion.
2.5 If you register for a "Both" account type (enabling both buying and selling), these Buyer Terms apply to all activity you undertake in the capacity of a Buyer, and the separate Seller Terms and Conditions apply to your activities as a Seller.
3. Creating Requests
3.1 When creating a Request, you must provide accurate details including the part category, part description, quantity, and delivery location.
3.2 You must select an urgency level for each Request. The available urgency levels and their associated expiry windows are as follows:

3.3 Requests will automatically expire if no Offer is accepted within the expiry window. You may extend a Request subject to the time-gating rules applicable to the urgency level.
3.4 You must not create Requests for any unlawful, prohibited, counterfeit, or hazardous goods, or for any purpose other than genuine procurement of industrial parts.
4. Reviewing and Accepting Offers
4.1 Sellers may submit Offers in response to your Request. You may review, compare, and accept or reject Offers at your sole discretion.
4.2 Acceptance of an Offer creates a binding obligation between you and the Seller for the supply of the specified goods at the agreed price and delivery terms.
4.3 You may only accept one Offer per Request. Upon acceptance, all other Offers for that Request are automatically marked as not selected.
4.4 At the point of acceptance, you must select a delivery method (Own Delivery or Delivery Service) and a delivery speed tier where applicable. The delivery price displayed at acceptance is final, subject to the quote versioning mechanism described in clause 5.
5. Pricing, Fees, and Payment
5.1 The price of goods is as set out in the accepted Offer (the "Part Price"). Delivery costs are calculated by the Platform and displayed separately.
5.2 A Platform Fee of 9.5% of the Part Price (subject to a minimum of £0.50) is charged to the Buyer and added to the Transaction total. The Platform Fee is calculated on the Part Price only and does not include delivery costs.
5.3 Delivery pricing is platform-calculated and may include an administrative markup of 5–20% on the base delivery cost, capped at £50. If you select Buyer Pickup, a flat £5.00 administration fee applies. You will see a single, inclusive delivery price.
5.4 Delivery quotes are subject to a versioning mechanism. If the underlying quote changes between the time you view delivery options and the time you accept, the Platform will notify you of the updated price and you must re-confirm before proceeding.
5.5 All prices are quoted in pounds sterling (GBP) and are exclusive of VAT unless stated otherwise. VAT will be added where applicable at the prevailing rate.
5.6 Payment is processed through Stripe. By accepting an Offer, you authorise GoFindPart to charge your registered payment method for the full Transaction amount (Part Price + Platform Fee + delivery cost + applicable VAT).
5.7 Payment is authorised at the point of Offer acceptance. Funds are captured upon confirmation of delivery or pickup. Funds are then subject to a hold period before release to the Seller.
5.8 Your use of Stripe's payment processing services is also subject to Stripe's own terms of service, including the Stripe Services Agreement (available at stripe.com/legal). By using the Platform, you acknowledge that Stripe is an independent service provider and that GoFindPart is not responsible for any acts or omissions of Stripe.
5.9 Where you are registered as a Trade buyer account, additional payment options may be made available to you (for example, purchase order terms via a third-party trade credit provider). Any such payment options are subject to separate terms and to approval of your credit profile by the relevant third-party provider. Late payment on credit-based terms may result in interest charges, suspension of your account, and referral to debt recovery, in accordance with the separate trade credit terms.
6. Delivery and Risk
Delivery Methods
6.1 The Platform supports two delivery methods:
- Own Delivery — the Seller delivers the goods directly, verified by QR code scanning at the delivery or pickup location; and
- Delivery Service — a third-party courier arranged through the Platform collects from the Seller and delivers to the Buyer.
Risk and Title
6.2 Where a Delivery Service is used, the contract for carriage is between the delivery provider and the relevant party (Buyer or Seller as applicable). GoFindPart facilitates the booking of delivery services but is not a party to the contract of carriage and accepts no liability for loss, damage, or delay in transit.
6.3 Risk in the goods passes to the Buyer upon delivery to the delivery address specified in the Request, or upon completion of pickup verification (QR code scan).
6.4 It is the Buyer's responsibility to ensure that the delivery address provided is accurate and that someone is available to receive the goods.
Buyer Acceptance
6.5 Upon delivery or pickup, you have a 2-hour window to inspect the goods and either accept delivery or report an issue. If you do not respond within 2 hours, delivery is automatically deemed accepted.
6.6 Automatic acceptance does not waive your right to raise a dispute within the dispute window (see clause 8).
7. Cancellation
7.1 You may cancel a Request subject to the following conditions:

7.2 Where a £25 cancellation fee applies, this fee will be deducted from any refund due to you. If no payment has been captured, the fee will be recorded as an outstanding balance on your account.
7.3 Cancellation of a Request after acceptance of an Offer will result in the rejection of all associated Offers and cancellation of any pending delivery arrangements.
7.4 GoFindPart reserves the right to cancel a Request or Transaction in cases of suspected fraud, breach of these Terms, or where required by law.
8. Disputes
8.1 If you are dissatisfied with the goods received, you may raise a dispute through the Platform. Disputes may be raised for the following reasons: goods not as described, damaged goods, wrong item, defective goods, or non-receipt.
8.2 Disputes must be raised within 48 hours of delivery confirmation. Requests for which delivery has been automatically accepted (under clause 6.5) remain eligible for dispute within this window.
8.3 When a dispute is opened, payment release to the Seller is automatically frozen pending resolution.
8.4 Both parties will have the opportunity to submit evidence (up to 10 files per dispute). GoFindPart will review the dispute and aim to reach a resolution within 48 hours of the dispute being placed under review.
8.5 Dispute outcomes may include: full refund to the Buyer, partial refund, or no refund (Seller prevails). GoFindPart's decision is final, subject to the Buyer's rights at law.
8.6 Returns of goods are managed by GoFindPart's administration team where required as part of dispute resolution or in the event of delivery failure. Buyers cannot initiate returns directly. Where a return is required, GoFindPart will arrange the reverse logistics. Responsibility for the cost of return shipping will be allocated according to the outcome of the dispute or the cause of the delivery failure, and may be allocated to the Buyer, the Seller, GoFindPart, or shared between the parties.
9. Non-Circumvention
9.1 Once a Request has been placed on the Platform or an Offer has been accepted, you must not:
- contact the Seller directly to complete the Transaction outside the Platform;
- negotiate pricing, delivery, or other terms directly with the Seller in circumvention of the Platform;
- use information obtained through the Platform to source the same or substantially similar goods from the Seller without using the Platform for a period of 12 months following the relevant Transaction.
9.2 A breach of this clause 9 entitles GoFindPart to charge you a non-circumvention fee equal to the Platform Fee that would have been payable on the circumvented Transaction, or £250, whichever is greater, in addition to any other remedies available.
10. Intellectual Property
10.1 All intellectual property rights in the Platform, including its design, functionality, branding, and content, belong to GoFindPart or its licensors.
10.2 You are granted a limited, non-exclusive, revocable licence to access and use the Platform in accordance with these Terms.
10.3 You must not copy, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.
11. Data Protection
11.1 GoFindPart processes personal data in accordance with its Privacy Policy, available at www.gofindpart.com/legal/privacy-policy.
11.2 To the extent that the Buyer and GoFindPart each process personal data in connection with Transactions, each party shall comply with its obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
12. Limitation of Liability
12.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other matter for which liability cannot be excluded by law.
12.2 GoFindPart acts as an intermediary platform. To the fullest extent permitted by law, GoFindPart shall not be liable for:
- the quality, safety, legality, or fitness for purpose of any goods supplied by a Seller;
- any loss or damage arising from the acts or omissions of any Seller or delivery provider;
- any indirect, consequential, or special losses, including loss of profit, loss of business, or loss of data; or
- any delay or failure in performance caused by circumstances beyond GoFindPart's reasonable control.
12.3 GoFindPart's total aggregate liability to the Buyer in respect of all claims arising out of or in connection with a single Transaction shall not exceed the total amount paid by the Buyer in respect of that Transaction.
12.4 GoFindPart's total aggregate liability across all claims in any 12-month period shall not exceed the total fees paid by the Buyer to GoFindPart in that period.
13. Indemnity
13.1 You shall indemnify and hold harmless GoFindPart, its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with:
- your breach of these Terms;
- your use of the Platform;
- any Transaction to which you are a party; or
- any breach of applicable law by you.
14. Suspension and Termination
14.1 GoFindPart may suspend or terminate your account immediately if you breach these Terms, if we have reasonable grounds to suspect fraudulent activity, or if required by law or regulation.
14.2 You may terminate your account at any time by contacting us. Termination does not affect any rights or obligations arising from Transactions entered into prior to termination.
14.3 Upon termination, any outstanding fees or charges remain due and payable.
15. Force Majeure
15.1 GoFindPart shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, government action, pandemic, power failure, internet or telecommunications failure, or industrial disputes.
16. General Provisions
16.1 These Terms, together with the Privacy Policy and any other policies published on the Platform, constitute the entire agreement between you and GoFindPart with respect to your use of the Platform as a Buyer.
16.2 GoFindPart may amend these Terms at any time by publishing updated Terms on the Platform. Material changes will be notified to you by email. Continued use of the Platform after notification constitutes acceptance of the amended Terms.
16.3 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16.4 A failure by GoFindPart to enforce any provision of these Terms shall not constitute a waiver of that provision.
16.5 These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16.6 No third party shall have any rights under these Terms by virtue of the Contracts (Rights of Third Parties) Act 1999.
